CartCloserAI is a product developed, operated, and maintained by UK Web Services. These Terms and Conditions constitute a legally binding agreement made between you and UK Web Services ("we", "our", or "us") concerning your access to and use of the CartCloserAI application.

1. Acceptance of Terms

By installing, accessing, or using CartCloserAI, you agree to be bound by these Terms and Conditions. If you do not agree with all of these terms, you are expressly prohibited from using the service and must discontinue use immediately.

2. Service Provision & API Usage

CartCloserAI provides an AI-powered product search and recommendation widget for e-commerce stores. Access is subject to the limits of your selected subscription plan.

Acceptable Use: You agree not to reverse-engineer the service, attempt to bypass our rate limits, or use the API for any purpose other than powering the CartCloserAI widget on your authorized storefront. We reserve the right to throttle, pause, or terminate accounts that exhibit abusive API usage or disrupt our server infrastructure.

3. Merchant Responsibilities

You are solely responsible for the accuracy of the product data (prices, descriptions, inventory) within your e-commerce store. You are also responsible for ensuring that your use of CartCloserAI complies with all applicable local, state, national, and international laws, including consumer protection and data privacy regulations.

4. AI Disclaimer & "As-Is" Service

CartCloserAI utilizes advanced artificial intelligence, including large language models (LLMs), to generate responses and recommend products.

Important: AI systems can occasionally produce unexpected, inaccurate, or conversational errors (commonly known as "hallucinations"). CartCloserAI is provided on an "as is" and "as available" basis. We do not warrant that the AI will always provide perfect, error-free, or contextually flawless recommendations. You agree that UK Web Services is not liable for lost sales, customer complaints, or pricing discrepancies resulting from AI-generated chat outputs.

5. Intellectual Property

UK Web Services retains all proprietary rights, title, and interest in and to the CartCloserAI platform, including the underlying source code, algorithms, UI designs, and marketing assets. You retain all rights to your own store's product catalog and brand assets.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall UK Web Services, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the service, even if we have been advised of the possibility of such damages.

7. Subscription, Billing, and Cancellation

Paid subscriptions are billed in advance on a recurring monthly or annual basis. You may cancel your subscription at any time through your dashboard or e-commerce platform billing portal. Upon cancellation, you will retain access to the service until the end of your current paid billing cycle. We do not provide refunds or credits for partial subscription periods unless legally required.

8. Indemnification

You agree to defend, indemnify, and hold harmless UK Web Services, its affiliates, and their respective officers, directors, and employees from any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms, your store's product data, or your use of the CartCloserAI service to sell illegal, regulated, or infringing products.

9. Modifications to Service and Pricing

We reserve the right to modify, suspend, or discontinue the CartCloserAI service (or any part thereof) at any time with or without notice. We also reserve the right to update our subscription pricing. We will provide a minimum of 30 days' notice for any price increases affecting your active subscription. Continued use of the service after such changes constitutes your consent to the new terms or pricing.

10. Force Majeure (Third-Party Outages)

UK Web Services shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, internet service provider failures, or outages of third-party artificial intelligence APIs (e.g., OpenAI, Anthropic, AWS) that power the core functionality of CartCloserAI.

11. Publicity and Marketing

By subscribing to CartCloserAI, you grant UK Web Services a non-exclusive, royalty-free license to use your company name, store name, and logo in our promotional materials, website "Trusted By" sections, and case studies. You may opt-out of this at any time by submitting a written request to our support team.

12. Miscellaneous (Severability & Entire Agreement)

These Terms constitute the entire agreement between you and UK Web Services regarding CartCloserAI, superseding any prior agreements, oral or written. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect. You may not assign or transfer your account or these Terms without our prior written consent.

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
